Terms of Service

All websites, services, addons, applications, widgets, solutions, and plugins created by Zaling Corporation are offered under terms of this kind. These Terms of Service (“Terms”) govern your access to and use of Moneytabs, including moneytabs.app, moneytabsapp.com, related applications, spaces (household spaces and group spaces), budgets, expense ledgers, optional financial connections, insights, premium plans, and any connected card program we offer with a partner bank (collectively, the “Services”) provided by Zaling Corporation (“Zaling,” “we,” “us,” or “our”).

When these Terms say “space,” they mean a shared Moneytabs workspace: a household space, a group space, or one you keep for yourself. If a Partner Bank Cardholder Agreement or a Connection Provider’s terms also apply, those agreements control their own products. If you are accepting on behalf of a household space, group space, or other group, you represent that you have authority to bind that group to the extent the law allows. If you do not agree, do not use the Services.

1. The Services

Moneytabs is a consumer budgeting tool. It lets you create or join a space - household or group - set monthly and special budgets (including trip, event, and sinking-fund style budgets), log expenses, and see remaining amounts and a daily spendable figure.

We may also offer, then or later:

• Links to external financial accounts through a Connection Provider;
• Optional spending insights generated from your books and any connected feeds;
• Paid premium plans; and
• A connected reloadable debit card issued by a Partner Bank, managed in part through the Moneytabs interface.

Moneytabs is not a bank, credit union, money transmitter, broker-dealer, or investment adviser. Zaling does not take deposits. If a reloadable debit card is offered, the Partner Bank issues the card account, holds any balances, and provides any deposit insurance that applies. Figures in the app are based on what members enter and on feeds or card activity you choose to include. Features and limits depend on the then-current product and any plan you select. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, including a particular connection integration or card program.

2. Accounts and eligibility

You must be at least 18 years old and provide accurate registration information. You are responsible for all activity under your account and for safeguarding credentials. If you enable a third-party sign-in, you are also responsible for that provider account.

You may belong to more than one space. You remain responsible for what you do in each of them.

A connected card, if offered, may have extra eligibility rules set by the Partner Bank (residency, identity verification, sanctions screening, and similar). Approval is not guaranteed. Connecting an external account or receiving a card may be limited to supported countries, currently expected to be the United States.

3. Spaces, roles, and invites

A space is a shared Moneytabs workspace - household, group, or just you. Roles are owner, admin, member, and viewer. Statuses include active, invited, and disabled.

• Owners and admins may invite people, change roles they are allowed to change, revoke unused invites, and remove members, subject to product rules.
• The sole owner cannot leave a Space without transferring ownership or closing the Space.
• You must only invite people who are allowed to see that Space’s budgets and expenses.
• Content you add may remain in the Space after you leave, because other members rely on the shared ledger.
• A bank connection or Partner Bank card in your name is not automatically a joint account with your Space. Sharing its activity into the Space ledger is optional and is Your Content once posted.
• You must not attempt to access a Space you were not invited to, scrape another Space’s data, or bypass role limits.

Zaling is not a party to disputes among Space members about money, chores, who should have been invited, or who should pay a card balance. Those are yours to resolve.

4. Your content

You retain whatever rights you already have in the budgets, expenses, notes, connected-transaction copies, and other materials you submit (“Your Content”). You grant Zaling a worldwide, non-exclusive, royalty-free license to host, process, transmit, display to authorized Space members, and otherwise use Your Content solely as necessary to provide, maintain, secure, and improve the Services and as described in the Privacy Policy.

You represent that you have the right to submit Your Content and to share it with the Space members who can see it. Do not upload content that is unlawful, infringing, or that you do not have permission to share.

Voiding an expense creates a new ledger entry rather than a silent rewrite. Do not use voids or edits to conceal information from other members in a way that violates law or an agreement among yourselves.

5. Financial connections

If you link an external account:

• You authorize Zaling and the Connection Provider to access and refresh the account information the provider makes available, until you disconnect.
• You represent that you have the right to link that account and that linking it does not violate the institution’s terms.
• Feeds can be late, duplicate, missing, or miscategorized. You are responsible for reviewing imported items before you rely on them.
• We are not responsible for the Connection Provider, for the institution that holds the account, or for a revoked or expired login.
• Disconnecting stops new imports. It does not erase items already saved to a Space ledger.

6. Insights

Daily goals, remaining balances, category totals, merchant clean-up, recurring-bill flags, and any future insights are arithmetic and pattern-matching on data you and your Space provide or connect. They are not a recommendation to spend, save, invest, borrow, or file in a particular way. You are responsible for decisions you make with your money and for professional advice you may need.

7. Premium plans, billing, cancellation, and refunds

The Services may be offered free, paid, or a mix of both. Some features - including connections above a limit, insights packs, or a connected card - may require an active premium plan.

If you purchase a plan:

• Unless otherwise specified you are purchasing a monthly (or other disclosed) premium service plan, billed in advance.
• You authorize us and our payment processors to charge your payment method. Plans auto-renew unless cancelled.
• You may cancel at any time through the account or billing screens; cancellation takes effect at the end of the then-current billing period unless we say otherwise at checkout.
• If you are unsatisfied with a purchase, you may request a refund within 14 days of the initial sale. You can cancel at any time, but a refund on the first charge is only available in that 14-day window.
• For renewing plans, a refund is only available within 3 business days of the most recent renewal charge.
• No refunds for partial periods after the applicable window. Card-program fees charged by a Partner Bank follow that bank’s fee schedule, not this refund window, except where law requires otherwise.
• We may change prices with notice; continued use after the effective date constitutes acceptance.

If Moneytabs is free when you first use it, this paid-plan language applies only if and when you buy a plan. Losing premium eligibility (for example after a failed renewal) may pause connections, insights, or card access; it does not by itself close a Partner Bank account.

8. Connected reloadable debit card

We intend to offer, as part of a premium plan and only after we select a suitable Partner Bank, a reloadable debit card you can use alongside your Space books. This section applies if and when that program is live for you.

8.1 Issuer and separate agreements

• The card is issued by the Partner Bank, not by Zaling. Zaling is the program interface and is not the depository institution.
• You must accept the Partner Bank’s Cardholder Agreement, fee schedule, EFTA and Truth-in-Savings or similar disclosures, and privacy notice. If those conflict with these Terms on a card-account issue (loads, transactions, unauthorized use, interest if any, closure, escheat), the Cardholder Agreement controls.
• We will name the Partner Bank and link its documents at enrollment. Until then, nothing in these Terms is an offer to issue a card.

8.2 Nature of the card

• The card is expected to be a reloadable debit card, not a credit card and not a gift card sold to third parties.
• You may load value only by methods the Partner Bank allows (for example an ACH debit from an account in your name, an in-app transfer, or another disclosed rail).
• Available balance, hold times, merchant holds, ATM networks, foreign-transaction handling, and spend limits are set by the Partner Bank and the card network and will be disclosed at enrollment.
• The card is for lawful personal or household use consistent with the Cardholder Agreement and these Terms.

8.3 Application, KYC, and our role

• You authorize us to collect application information and to send it to the Partner Bank and its KYC, CIP, OFAC, and fraud vendors.
• The Partner Bank decides whether to open the account. We do not have to explain a decline beyond what the bank allows us to share.
• You agree that information you submit is accurate and to keep your legal name, address, and other KYC fields current.

8.4 Using the card through Moneytabs

• The app may show card balance, recent transactions, freeze/unfreeze, spend controls, replacement requests, and loads.
• App figures can lag the official card ledger. The Partner Bank’s record is authoritative for the card account.
• If you post card activity into a Space, other members may see those transactions according to their role. They do not become cardholders unless the Partner Bank issues them a card.

8.5 Fees, loads, and unauthorized transactions

• Moneytabs premium subscription fees are charged by Zaling under Section 7.
• Card fees (ATM, replacement, inactivity, load, foreign, and similar) are charged by the Partner Bank under its fee schedule.
• Report a lost, stolen, or unrecognized card transaction as the Cardholder Agreement requires, and also tell support@zaling.com so we can help freeze the card in the app. Error-resolution rights for the card account come from the Partner Bank and applicable law (including the Electronic Fund Transfer Act where it applies), not from these Terms alone.

8.6 Suspension and closure

• We or the Partner Bank may freeze or close card access for suspected fraud, Acceptable Use violations, failed KYC refresh, sanctions hits, unpaid program fees, or as required by law.
• Cancelling Moneytabs premium may suspend in-app card management. Follow the Partner Bank’s process to close the card account and recover any remaining allowed balance.
• We are not liable for merchant refusals, network downtime, Partner Bank outages, or delayed loads.

9. Acceptable use

You may use the Services only for lawful personal budgeting - and, if issued, lawful personal or household use of a connected card - consistent with these Terms. You agree not to (and not to allow others to):

• Use the Services or a card for illegal activity, fraud, sanctions evasion, or to conceal proceeds of crime.
• Misrepresent your identity in a card application or Space invite.
• Harass, stalk, or dox anyone through invites, notes, or Space names.
• Attempt to access another user’s account, card, connected institution, or a Space without authorization.
• Probe, scan, or reverse-engineer the Services except as the law expressly allows.
• Resell, sublicense, or operate a competing service on top of the Services without our written consent.
• Interfere with the Services or other users, including by overloading infrastructure.
• Upload malware or automated traffic that is not ordinary use of the product.
• Use the Services to provide licensed financial, tax, legal, or investment advice to the public as if Moneytabs were your professional platform.

We may suspend or terminate access for violations, with or without notice, and we may ask the Partner Bank to freeze a card tied to the same person.

10. Ideas and feedback

You agree that Zaling may be independently developing software, content, and other products or services that may be similar to ideas you describe, and nothing in these Terms restricts Zaling from creating or offering such items without obligation to you.

If you submit comments or ideas about the Services (“Feedback”), your disclosure is unsolicited and without restriction and will not place Zaling under any fiduciary or other obligation. We may use Feedback without compensation. You assign ownership in Feedback to us; to the extent that assignment is ineffective, you grant Zaling a nonexclusive, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to use it.

11. Intellectual property

The Services, software, designs, documentation, and all related content (excluding Your Content) are and remain the exclusive property of Zaling Corporation or its licensors. The names, logos, wordmarks, and marks “Zaling” and “Moneytabs,” including the Moneytabs wordmark and wallet-tab icon, and related branding are trademarks of Zaling Corporation. You may not use, copy, or closely imitate them without prior written consent. Unauthorized use, including operation of confusingly similar services or domains, is prohibited and may result in legal action. Partner Bank and card-network marks remain their property.

12. Third-party services

The Services may rely on third-party hosting, email, analytics, identity providers, payment processors, Connection Providers, card processors, and a Partner Bank. We are not responsible for third-party acts or failures. Their terms apply to their services.

13. Changes to Zaling and the Services

Zaling reserves the right at any time (and from time to time) to modify, suspend, or discontinue providing its services or any part thereof with or without notice. We are not liable to you or any third party for such modification, suspension, or discontinuance. Replacing a Connection Provider or Partner Bank is a modification of this kind; we will give the notice those parties or the law require.

14. Disclaimers

YOUR USE OF ZALING’S SERVICES, AND ALL CODE AND CONTENT, ARE AT YOUR SOLE RESPONSIBILITY AND RISK. THE SERVICES AND ALL CODE AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZALING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OF CALCULATIONS OR INSIGHTS, COMPLETENESS OF CONNECTED FEEDS, UPTIME, CARD AUTHORIZATION SUCCESS, LOAD TIMES, AND THAT BUDGET OR EXPENSE DATA WILL BE ERROR-FREE OR COMPLETE. ZALING DOES NOT WARRANT ANY PARTNER BANK, CONNECTION PROVIDER, OR CARD NETWORK.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZALING AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, CARD VALUE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ZALING FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50) IF YOU HAVE PAID NOTHING.

This cap applies to Zaling only. It does not waive rights you may have against a Partner Bank under a Cardholder Agreement or federal law. Some jurisdictions do not allow certain limitations. In those places, the limit applies to the fullest extent allowed.

16. Indemnification

You agree to indemnify, defend, and hold harmless Zaling and its affiliates, officers, agents, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your Content or use of the Services; (b) your violation of these Terms or applicable law; (c) a dispute among Space members; (d) a connected account you were not authorized to link; (e) your use or misuse of a connected card; or (f) any claim by a third party related to a Space you own or administer.

17. Termination

We may suspend or terminate your access for any breach or for any reason with notice (or without notice for serious violations). You may stop using the Services and close your Moneytabs account at any time, subject to Space-owner rules. Upon termination, your right to use the Services ceases. We may retain certain data as required by law or for legitimate business purposes, subject to the Privacy Policy. Termination of Moneytabs does not automatically terminate a Partner Bank card account.

18. Relationship of the parties

The parties are independent contractors. These Terms do not create a partnership, joint venture, or employee-employer relationship. Zaling has no special relationship with or fiduciary duty to you. Neither party may bind the other. The Partner Bank is not Zaling’s partner in the legal-partnership sense merely because these Terms use the words “Partner Bank.”

19. United States export controls

You agree to comply with all applicable export and reexport control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the Department of State. You shall not directly or indirectly export or transfer anything received from Zaling to a prohibited destination, entity, or person without required authorization. You agree to indemnify Zaling from fines or penalties that arise from your breach of this provision. This clause survives termination.

20. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict-of-law principles. Disputes that the Cardholder Agreement requires you to bring against the Partner Bank follow that agreement’s forum terms instead.

20.1 Agreement to arbitrate

You and Zaling agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the breach, termination, enforcement, interpretation, or validity thereof (collectively, “Disputes”) shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules (or Commercial Arbitration Rules if those apply). The arbitration shall be conducted by a single arbitrator.

The arbitration shall take place in Stillwater, Oklahoma, or, at either party’s election, may be conducted by video conference or telephone. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

20.2 Class action waiver

YOU AND ZALING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding.

20.3 Exceptions

• Either party may bring an individual action in small claims court if the claim qualifies;
• Either party may seek provisional or injunctive relief (including for intellectual property infringement or misuse of the Services) in a court of competent jurisdiction without waiving arbitration of the underlying Dispute;
• Claims that must be brought against the Partner Bank under the Cardholder Agreement are not subject to this Section 20 except to the extent they are also claims against Zaling; and
• If the class-action waiver is found unenforceable as to a claim, then this arbitration agreement is null and void as to that claim, and the Dispute proceeds in court.

20.4 Opt-out

You may opt out of this arbitration agreement by sending written notice to legal@zaling.com within 30 days of first accepting these Terms (or of the effective date of this arbitration provision if later). The notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.

20.5 Costs

Each party shall bear its own costs of arbitration, except that the arbitrator may award attorneys’ fees and costs to the prevailing party if permitted by applicable law or the AAA rules. Zaling will not seek attorneys’ fees or costs from you unless the arbitrator determines your claim is frivolous.

20.6 Survival

This arbitration agreement survives termination of these Terms or your use of the Services.

If for any reason a Dispute proceeds in court rather than arbitration, you and Zaling each waive any right to a jury trial and agree that the exclusive venue shall be the state or federal courts located in Payne County, Oklahoma, and you consent to personal jurisdiction there.

21. General

The failure of Zaling to exercise or enforce any right or provision does not constitute a waiver. If any provision is found invalid, the court should try to give effect to the parties’ intentions as reflected in the provision, and the other provisions remain in effect.

You may not assign these Terms or your accounts except in connection with a merger, reorganization, or sale of substantially all related assets. A Partner Bank card is not assignable except as that bank allows. Zaling may assign its rights and obligations without consent, including in a merger, reorganization, or sale of assets. These Terms bind permitted successors.

The words “including” and “includes” mean “including without limitation.”

22. Updates to these Terms

These Terms may be updated or changed by Zaling from time to time by posting the amended Terms on the Moneytabs site. Material changes will be effective upon posting or as otherwise stated. Continued use constitutes acceptance. If you do not agree to changes, you must stop using the Services and close your account. Naming a Partner Bank or Connection Provider, or opening card enrollment, is a material change we will post.

23. Entire agreement

These Terms, together with the Privacy Policy and any plan description or order you accept, constitute the entire agreement between you and Zaling about the Services and supersede prior discussions about them. They do not replace a Partner Bank Cardholder Agreement or a Connection Provider’s terms. Notices may be provided by email, in-product message, or website posting.
